1. About Convyo Digital
Convyo Digital provides software, automation, appointment-management, WhatsApp workflow, CRM, website, and related technology services to business customers.
For these Terms, the person or organisation purchasing or using our services is referred to as the "Customer", "you", or "your".
Convyo Digital is referred to as "Convyo Digital", "we", "us", or "our".
2. Nature of the Service
Convyo Digital provides technology and managed services intended to help businesses manage appointment requests, doctors, schedules, patients/customers, tokens, reminders, waitlists, communications, and related operations.
Depending on the package selected, the service may include:
- appointment CRM/dashboard;
- WhatsApp appointment flows;
- confirmations and reminders;
- doctor and schedule management;
- token/queue management;
- waitlists;
- notifications;
- website or landing-page development;
- integrations;
- support and maintenance; and
- other services expressly included in the Customer's quotation/order.
3. Customer Account
The Customer is responsible for:
- providing accurate information;
- protecting login credentials;
- restricting access to authorised personnel;
- notifying Convyo Digital of suspected unauthorised access; and
- ensuring that users of the Customer's account comply with these Terms.
You must not share administrator credentials with unauthorised persons.
Convyo Digital may suspend access where necessary to protect the platform, other customers, data, or the integrity of the service.
4. Customer Ownership and Authority
The Customer represents and warrants that it has the right and authority to provide the information, phone numbers, business details, patient/customer data, content, logos, documents, and other materials that it submits to Convyo Digital for the purpose of providing the service.
The Customer remains responsible for its relationship with its patients/customers and for obtaining any permissions, consents, notices, or authorisations required by law.
5. Patient and Customer Data
The Customer understands that Convyo Digital may process patient/customer information to provide the service.
The Customer is responsible for ensuring that such processing is lawful and appropriate for its business.
The Customer must not use Convyo Digital to collect or process information that it has no lawful right to collect or use.
The Customer must not intentionally collect unnecessary sensitive information through Convyo Digital's forms or workflows.
Where Convyo Digital acts as a service provider/data processor, Convyo Digital will process the relevant information according to the Customer's lawful documented instructions and the applicable service agreement.
6. Medical and Healthcare Disclaimer
Convyo Digital is a technology service provider.
Convyo Digital is not:
- a doctor;
- a hospital;
- a clinic;
- a pharmacy;
- a medical practitioner;
- a healthcare provider; or
- a substitute for professional medical advice.
Convyo Digital does not diagnose patients, prescribe medicines, determine treatment, or make clinical decisions.
Any medical information, appointment information, doctor information, availability, or healthcare communication displayed through the service is provided or controlled by the relevant Customer and/or healthcare professional.
The Customer is responsible for the accuracy of its medical, doctor, appointment, availability, and healthcare-related information.
7. Customer Approval of Automated Communications
The Customer is responsible for approving the content, timing, recipients, and purpose of automated messages used through its account.
This may include:
- appointment confirmations;
- reminders;
- cancellations;
- rescheduling messages;
- waitlist messages;
- operational notifications; and
- other WhatsApp/SMS/email communications.
The Customer confirms that it has authority to send such communications to the relevant recipients and that the communications comply with applicable law and platform rules.
8. WhatsApp / Meta / Messaging Providers
Where WhatsApp or another messaging platform is used, the service is subject to the applicable third-party platform rules.
The Customer agrees to comply with applicable WhatsApp/Meta policies, messaging requirements, template rules, consent requirements, and other platform restrictions.
Convyo Digital does not guarantee:
- uninterrupted WhatsApp availability;
- delivery of every message;
- approval of every message template;
- continued availability of a particular Meta feature;
- unchanged third-party pricing;
- continued availability of a particular messaging provider; or
- immunity from third-party account restrictions.
A WhatsApp number or business account may be restricted, suspended, or disconnected by a third party for reasons outside Convyo Digital's control.
9. Third-Party Services
The service may depend upon third-party providers, including hosting, databases, authentication, messaging, WhatsApp/Meta, email, analytics, payment, and other infrastructure providers.
Examples may include:
- Supabase;
- Vercel;
- Meta/WhatsApp;
- MapStore; and
- other providers selected or required for a particular deployment.
Third-party services may:
- change pricing;
- change features;
- experience downtime;
- impose limits;
- suspend accounts;
- change technical requirements; or
- discontinue services.
Where a third-party change materially affects the service, Convyo Digital may modify, replace, or discontinue the affected component.
10. Fees and Pricing
Fees are determined according to the applicable quotation, proposal, order form, invoice, or service agreement.
Charges may consist of:
- implementation/setup charges;
- platform/service fees;
- recurring subscription or maintenance fees;
- third-party technology or infrastructure costs;
- messaging charges;
- hosting costs;
- domain/email charges;
- support charges; and
- other agreed charges.
Convyo Digital does not disclose its internal cost structure or profit margins as part of the Customer's commercial agreement unless specifically agreed.
Where third-party providers change their pricing, taxes, usage charges, or platform rules, Convyo Digital may revise corresponding charges after providing reasonable notice, subject to the applicable agreement.
11. Taxes
Applicable taxes, duties, levies, or statutory charges may be added to invoices where required by law.
The Customer is responsible for providing accurate billing information and, where applicable, GST details.
Convyo Digital will issue invoices and charge applicable taxes according to its legal and tax status.
12. Payment
Unless otherwise agreed in writing:
- invoices are due according to the payment terms stated on the invoice or quotation;
- overdue amounts may result in suspension of services;
- third-party charges that have already been incurred on the Customer's behalf may remain payable;
- setup/implementation work may not begin until agreed payment conditions are met.
13. No Guaranteed Business Results
Convyo Digital provides technology and automation services.
We do not guarantee:
- a specific number of patients;
- a specific number of appointments;
- revenue increases;
- reduction of no-shows by a fixed percentage;
- rankings on search engines;
- WhatsApp delivery rates;
- patient response rates; or
- any specific financial outcome.
Business performance depends on factors outside Convyo Digital's control.
14. Availability and Downtime
We aim to provide reliable service but do not guarantee that the service will always be available without interruption.
Downtime may result from:
- maintenance;
- hosting failures;
- database failures;
- internet outages;
- WhatsApp/Meta outages;
- third-party outages;
- DNS issues;
- provider restrictions;
- cyber incidents;
- force majeure events; or
- events outside our reasonable control.
We will use commercially reasonable efforts to restore material service disruptions.
15. Backups and Data Recovery
Convyo Digital may maintain backups and recovery mechanisms appropriate to the service.
However, no backup system guarantees recovery from every failure.
The Customer should maintain any records it is legally required to retain independently where appropriate.
16. Intellectual Property
Convyo Digital retains ownership of:
- its software;
- source code;
- frameworks;
- templates;
- reusable components;
- systems;
- methods;
- processes;
- automation logic;
- general know-how; and
- documentation.
The Customer retains ownership of Customer-provided materials, including its:
- business name;
- logo;
- brand assets;
- patient/customer information;
- business records; and
- content supplied by the Customer.
Unless otherwise agreed in writing, payment for a service does not transfer ownership of Convyo Digital's underlying software or reusable technology.
17. Websites and Custom Development
Where Convyo Digital develops a website or custom software feature:
- the exact deliverables are defined by the quotation/specification;
- third-party plugins, assets, fonts, APIs, stock materials, and licenses may remain subject to their own licence terms;
- changes outside the agreed scope may incur additional charges; and
- the Customer is responsible for approving final content, branding, legal pages, and factual statements supplied for publication.
18. Acceptable Use
You must not use Convyo Digital to:
- violate applicable law;
- impersonate another person or organisation;
- send unlawful or deceptive communications;
- send spam or unauthorised marketing;
- collect data without lawful authority;
- distribute malware;
- attack or probe our systems without permission;
- attempt to bypass security controls;
- interfere with other customers;
- upload illegal or infringing content;
- misuse patient/customer information; or
- violate WhatsApp, Meta, hosting, or other provider policies.
We may suspend or terminate access where we reasonably believe the service is being misused.
19. Security
The Customer is responsible for:
- securing its credentials;
- using authorised personnel;
- maintaining appropriate internal access controls;
- keeping its own devices secure; and
- promptly reporting suspected compromise.
Convyo Digital will implement reasonable technical and organisational security measures appropriate to the service.
No system connected to the internet can be guaranteed to be completely secure.
20. Confidentiality
Each party may receive confidential information belonging to the other.
Each party agrees to:
- use confidential information only for the relevant business relationship;
- protect it using reasonable safeguards; and
- not disclose it except to authorised personnel, service providers, professional advisers, or where required by law.
Confidentiality obligations do not apply to information that:
- is publicly available without breach;
- was already lawfully known;
- is independently developed; or
- must be disclosed under law or lawful authority.
21. Data Protection Agreement
Where Convyo Digital processes personal information on behalf of a Customer, the parties should execute an appropriate Data Processing Addendum / Data Processing Agreement where required or appropriate.
That agreement may define:
- data roles;
- processing instructions;
- security measures;
- sub-processors;
- retention;
- deletion;
- breach procedures;
- assistance with data-subject rights; and
- other privacy obligations.
If there is a conflict between these Terms and a signed data-processing agreement concerning personal data, the data-processing agreement will control to the extent of the conflict.
22. Privacy Policy
Use of the website and services may also be governed by the Convyo Digital Privacy Policy.
The Privacy Policy explains Convyo Digital's handling of personal information.

23. Customer Responsibility for Legal Compliance
The Customer remains responsible for complying with laws applicable to its own business, including where relevant:
- privacy/data-protection law;
- consumer law;
- healthcare/pharmacy requirements;
- professional standards;
- advertising rules;
- tax law;
- telecommunication/messaging rules; and
- record-retention obligations.
Convyo Digital is not responsible for determining all legal requirements applicable to the Customer's particular business model.
24. No Unauthorised Medical Instructions
The platform is not intended to create or transmit medical advice on behalf of Convyo Digital.
The Customer must review and approve any healthcare-related automated message, content, doctor information, schedule information, and operational notice before use.
25. Suspension
Convyo Digital may suspend the service where reasonably necessary because of:
- non-payment;
- security concerns;
- suspected fraud or abuse;
- unlawful use;
- violation of these Terms;
- third-party provider restrictions; or
- threats to the platform or other customers.
Where practical, we will provide notice and an opportunity to remedy the issue.
26. Termination
Either party may terminate the service according to the applicable quotation, order form, or customer agreement.
On termination:
- access may be disabled;
- outstanding fees become payable;
- data handling will be governed by the applicable retention/deletion terms;
- third-party subscriptions may need separate cancellation; and
- certain records may be retained where legally required.
Termination does not automatically waive amounts already incurred.
27. Limitation of Liability
To the maximum extent permitted by applicable law, Convyo Digital will not be liable for indirect, incidental, special, consequential, exemplary, or loss-of-profit damages arising from the use of the service.
Subject to applicable law and the relevant customer agreement, Convyo Digital's aggregate liability should be limited to the fees actually paid by the Customer to Convyo Digital for the affected service during the [3/6/12] months immediately preceding the event giving rise to the claim.
28. Indemnity
To the extent permitted by applicable law, the Customer agrees to indemnify and hold harmless Convyo Digital, its owners, employees, contractors, and service providers from third-party claims, losses, liabilities, and reasonable costs arising from:
- unlawful customer data collection;
- the Customer's breach of these Terms;
- the Customer's misuse of the service;
- infringing Customer-provided content;
- unlawful or unauthorised communications;
- the Customer's healthcare/business operations; or
- violation of third-party messaging/provider rules caused by the Customer's actions.
29. Force Majeure
Convyo Digital will not be responsible for delays or failures caused by events outside reasonable control, including:
- natural disasters;
- war;
- terrorism;
- government actions;
- internet or telecommunications failures;
- power failures;
- cyberattacks;
- third-party platform outages;
- labour disruption; or
- other force majeure events.
30. Changes to the Service
We may modify or improve the service from time to time.
If a change materially affects a paid service, we will use reasonable efforts to provide appropriate notice.
31. Changes to These Terms
We may update these Terms from time to time.
The revised version will be published on the website with a new "Last Updated" date.
Continued use of the service after the effective date of an updated version will constitute acceptance where permitted by law.
For material commercial changes, we may require renewed acceptance or a signed amendment.
32. Governing Law and Jurisdiction
These Terms will be governed by the laws of India.
Subject to any mandatory dispute-resolution mechanism in the applicable customer agreement, courts/tribunals of Bhubaneswar, Odisha shall have jurisdiction.
33. Dispute Resolution
Before commencing formal proceedings, the parties should make reasonable efforts to resolve disputes through good-faith discussion.

A separate contract may provide for mediation/arbitration or a different dispute-resolution mechanism.

35. Entire Agreement
These Terms, together with any quotation, proposal, order form, statement of work, signed customer agreement, Data Processing Addendum, and other expressly incorporated documents, form the agreement governing the service.
If there is a conflict:
- signed customer-specific agreement/order form;
- signed Data Processing Addendum for privacy/data matters;
- these Terms; and
- other general website content.
36. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
37. No Waiver
Failure to enforce a provision does not constitute a permanent waiver of that provision.
